No further action from the FCA after Russell-Cooke represents former director in insider dealing case

A Financial Conduct Authority (FCA) investigation into the conduct of a former director of a public company has concluded with no further action being taken following representation by Russell-Cooke.

The Russell-Cooke team—comprising regulation partner Matt Bosworth, corporate and commercial partner Peter Jeffrey and employment partner Alex Bearman—instructed leading barrister Jim Sturman KC of 2 Bedford Row.

The team acted for the former director of a public company who admitted breaches of insider dealing rules and regulations. They advised the client in relation to the termination of his employment from the former company and, concurrently, made representations that any further action by the FCA would be contrary to the public interest, considering the director’s early cooperation and admissions. 

The FCA highlighted several areas of concern and stated that the conduct did not meet the FCA’s expectations of a director of a Listed Company but they confirmed no proceedings were to be brought against the director.
